Terms of Service

Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the Velqory platform, APIs, agents, documentation, and related services (collectively, the "Platform"). By creating an account or using any part of the Platform you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree, do not use the Platform.

Platform and services

Velqory provides an AI-agent platform for document management, classification, retrieval, and analysis. The Platform includes:

  • Multi-tenant document ingestion (web, email, Telegram, WhatsApp Business, Slack)
  • Automatic classification, semantic search, and natural-language Q&A
  • Per-document and cross-document analysis
  • Vision and OCR for scanned and image-based documents
  • Agentic AI runtime with prompt versioning and tool bindings
  • Compliance-aware library supporting GDPR, NIS2, ISO 27001, and SOC 2 preparation where contracted
  • Per-tenant Postgres, isolated storage, and per-tenant Obsidian vault
  • API access subject to plan rate limits

AI inference, model provider, and data-location options depend on the plan, tenant configuration, and written agreement. Where third-party providers are used, they must be identified in the applicable contract, DPA, or subprocessor list.

We may update, modify, or discontinue features with 30 days' written notice. Critical security updates may be applied immediately.

Accounts and access

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must:

  • Provide accurate, complete registration information.
  • Notify us immediately of any unauthorized access.
  • Not share account credentials across individuals - use role-based access instead.

We reserve the right to suspend accounts that violate these Terms or pose a security risk.

Your data and intellectual property

You retain all rights, title, and interest in the data, configurations, and content you upload to the Platform ("Your Data"). You grant Velqory a limited, non-exclusive, EU-scoped license to process Your Data solely for the purpose of delivering and improving the services you have requested.

We do not claim ownership of Your Data. We do not use Your Data to train machine-learning models. We do not share Your Data with third parties except as described in our Privacy Policy.

Your Data is stored in a per-tenant Obsidian vault on Velqory-operated EU infrastructure. You may export Your Data at any time during the subscription, in open formats (Markdown, JSON, CSV, original file formats) including the full Obsidian vault structure.

Acceptable use

You agree not to use the Platform to:

  • Violate any applicable law or regulation.
  • Infringe on intellectual property rights of others.
  • Distribute malware, viruses, or malicious code.
  • Attempt to gain unauthorized access to other accounts or systems.
  • Reverse-engineer, decompile, or disassemble any part of the Platform.
  • Use automated means to scrape or extract data beyond API rate limits.
  • Resell or sublicense Platform access without written authorization.

Payment and billing

Paid plans are billed in advance on a monthly or annual cycle, in euros (EUR), through Stripe Payments Europe, Ltd. We issue Portuguese legal invoices (faturas) by email. All listed prices include VAT where applicable. All fees are non-refundable except where required by applicable law.

  • Upgrades take effect immediately, with prorated charges for the current billing period.
  • Downgrades take effect at the next billing cycle.
  • Overages (additional users, document volume, agents, channels, storage, or framework slots beyond your plan) are billed per the add-on rates published in your plan documentation.

We may adjust pricing with 60 days' written notice before the start of a new billing cycle. Customers under the Early Adopter program retain price protection for the duration of the program terms.

Service level agreement

Service availability targets and support response times are defined by plan, proposal, contract, or SLA addendum:

  • Empresa - contractual availability and response terms only when stated in the signed plan or SLA addendum.
  • Profissional - best-effort availability and priority support according to the active plan.
  • Essencial - best-effort availability and email support according to the active plan.

Scheduled maintenance windows, exclusions, credits, and remedies apply only where written in the applicable contract or SLA addendum.

Compliance and data protection

Velqory operates the Platform with attention to GDPR, NIS2, ISO/IEC 27001, and SOC 2 preparation principles, without claiming certification or report status unless supported by valid documentation. A Data Processing Agreement (DPA) is used where the contracted service requires personal data processing on behalf of a customer.

Data location, transfers, AI inference, and subprocessors are defined by the plan, tenant configuration, DPA, and project scope.

Relevant security or privacy documentation may be requested from [email protected], subject to customer status, scope, and confidentiality requirements.

Limitation of liability

To the maximum extent permitted by law, Velqory's total aggregate liability under these Terms shall not exceed the amounts paid by you in the 12 months preceding the event giving rise to the claim.

In no event shall Velqory be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, regardless of whether we were advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot be limited under applicable law (including liability for gross negligence, willful misconduct, or violation of mandatory consumer protection rights).

Termination and data export

Either party may terminate this agreement with 30 days' written notice. We may suspend or terminate your access immediately if you breach these Terms or if continued access poses a security risk.

You may export Your Data at any time during the subscription, on demand, in open formats (Markdown, JSON, CSV, original file formats), including the full per-tenant Obsidian vault. There are no export fees and no API gating on the export endpoint.

Following termination, you have 30 days to export Your Data. After that window, Your Data is permanently deleted from production systems within 30 days and from backups within 90 days, in accordance with our retention policy.

Governing law

These Terms are governed by the laws of Portugal. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal, unless otherwise required by applicable consumer protection law.

Changes to these terms

We may revise these Terms from time to time. Material changes will be announced via email and an in-Platform notification at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
